国产原创 Employee Indemnification Policy

国产原创 provides legal defense and indemnification to faculty and staff with respect to external claims that arise from activity within the scope of their university employment and/or in the performance of authorized duties.

Acts of intentional wrongdoing and gross negligence fall outside of the scope of authorized duties, and the university will not defend or indemnify individuals for such acts. In addition, the university does not provide a defense or indemnification in connection with internal dispute resolution processes, such as university disciplinary actions or investigations by the EOA or Title IX Offices; legal proceedings initiated by the university; or as prohibited by law. The university also typically will not provide a defense or indemnification in connection with alleged criminal acts, unless such acts or omissions were taken in good faith and in a manner reasonably believed to be lawful and in the best interests of the university, as determined by the Office of the General Counsel.

For purposes of this statement, 鈥渓egal defense鈥 means the university will provide an attorney to represent the faculty/staff member and give legal advice, as well as pay case-related costs. 鈥淚ndemnification鈥 means the university will pay any judgment for monetary damages assessed against the faculty/staff member.

To qualify for assistance, the faculty/staff member must request such defense and/or indemnification from the university timely after receiving notice of a legal action or proceeding (e.g., upon receipt of a summons, complaint, notice, demand, or pleading) and must cooperate in the defense of any related legal action or proceeding. A delay in notifying the university may disqualify the faculty/staff member from such defense and/or indemnification if such a delay prejudices the university's defense of the matter or increases expenses. Decisions on the extent of eligibility for defense and/or indemnification, and the selection of counsel, are made by the university on a case-by-case basis and are final. The university typically will not reimburse the faculty/staff member for costs they incur without prior written and express approval for hiring counsel. Should the university learn of material information that would render legal defense and/or indemnification inappropriate, it may revoke the legal defense or indemnification and seek restitution for any amounts paid on behalf of the faculty/staff member.
